Welcome to Shtrs (“we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of the Shtrs platform, including our website, mobile applications, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

Account Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your password and for all activities under your account.

Website Sections

Shtrs offers distinct sections—Gallery, Directory, Board, Toolkit, Journal, and Series—to showcase work, list opportunities, and provide resources. Your access to and use of each section must comply with these Terms and any additional guidelines specific to that section.

User Content

You retain ownership of any photos, text, or other materials you post (“User Content”). By submitting User Content, you grant Shtrs a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, adapt, modify, distribute, and otherwise exploit your content in connection with operating and promoting the Platform, including marketing, advertising, and analytics.

Prohibited Conduct

You agree not to:

• Post unlawful, defamatory, infringing, obscene, or harmful content

• Harass, threaten, or harm other users

• Use the Platform for any commercial solicitation without Shtrs’s consent

• Upload viruses, malware, or other harmful code

• Circumvent any access or usage controls

• Scrape, spider, or crawl any web pages or services contained in the Platform

Payment & Fees

If you purchase any paid service (e.g., premium Directory listings, job postings, or workshops), you agree to pay all fees on time. All fees are non-refundable except as required by law or expressly stated. Taxes are your responsibility. We may use third-party payment processors, whose terms and privacy policies also apply.

DMCA & Copyright Infringement

If you believe your copyright has been infringed, please notify our designated agent with a takedown request including the infringing URL and proof of ownership. We will respond in accordance with applicable law. Repeat infringers may have their accounts terminated.

Community Guidelines & Moderation

All interactions—comments, messages, and collaboration requests—must adhere to our Community Guidelines. We reserve the right to review, remove, or disable any content or accounts that violate these Terms or our Guidelines, in our sole discretion.

Account Suspension, Termination & Appeals

We may suspend or terminate your access without notice for violation of these Terms or any policy. If suspended, you may appeal by contacting contact@shtrs.co within 14 days. We will review appeals in good faith but are not obligated to reinstate any account.

Third-Party Links & Integrations

The Platform may contain links to third-party websites or services, or offer API integrations. We do not endorse or assume responsibility for any third-party content, products, or practices. Your use of third-party resources is at your own risk and subject to their terms.

Feedback & Suggestions

We welcome feedback, ideas, and suggestions. By submitting them, you grant Shtrs a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and commercialize such feedback without obligation or attribution.

Data Retention & Deletion

We retain your User Content and personal data as long as your account is active and as needed to provide the Platform. Upon account deletion, we will disable access but may retain archived copies for legal, security, or internal business purposes. You may request permanent deletion by contacting support@shtrs.com.

Privacy

Your use of the Platform is governed by our Privacy Policy, which explains how we collect, use, and share your personal information. By using the Platform, you consent to our data practices as described there.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” SHTRS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHTRS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify and hold harmless Shtrs, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including attorneys’ fees) arising out of your breach of these Terms or your use of the Platform.

Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Failure to enforce any right under these Terms shall not constitute a waiver of such right.

Entire Agreement

These Terms, together with our Privacy Policy, Community Guidelines, and any section-specific rules, constitute the entire agreement between you and Shtrs concerning your use of the Platform and supersede all prior or contemporaneous agreements or communications.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in state or federal courts located in Florida..

Changes to Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the new Terms on the Platform and updating the “Last Updated” date. Your continued use after such updates constitutes acceptance of the revised Terms.
